Terms of Service

These terms cover engagements for WordPress development, custom web applications, plugin development, design, and hosting/maintenance work as described on this site. The specifics of any given project — scope, timeline, price — are confirmed in writing (a proposal, quote, or statement of work) before work begins; these terms fill in the general framework around that agreement.

Projects typically start from $2,000 USD. Final pricing depends on scope and is agreed in writing before any work begins — nothing is billed that wasn't scoped upfront.

• A deposit (typically 50%) is due before work begins.
• The remaining balance is due on completion/delivery, unless a different schedule is agreed in writing for larger engagements.
• Late payment may pause active work until resolved.

A reasonable number of revisions are included as part of the scoped project. Requests outside the original scope — new features, redesigns of already-approved work — are quoted separately rather than assumed to be included.

Projects move faster when a client provides, in a timely way:

• Feedback and approvals at each stage
• Content, copy, and brand assets needed for the build
• Access to hosting, domains, or third-party accounts the project depends on

On full payment, the client owns the final deliverables created specifically for their project — the code and design work handed over at completion. Pre-existing tools, internal frameworks, and general-purpose components built up over time remain Ulprus Technologies' property and may be reused across other projects.

Projects often run on third-party platforms — hosting (Vercel, Vultr), databases (Supabase, Neon, Convex), WordPress plugins and page builders. Those come with their own costs and terms, and stay the client's responsibility to maintain after handover unless an ongoing support agreement is in place.

Ulprus Technologies' liability for any claim arising from a project is limited to the fees actually paid for that project. We're not liable for indirect, incidental, or consequential damages — lost revenue or data loss from causes outside our reasonable control, for example.

Either party can end an engagement with written notice. The client pays for work completed up to that point; any prepaid amount for work not yet delivered is refunded.

These terms are governed by the laws of Japan, without regard to conflict-of-law principles.

These terms may be updated from time to time; the "last updated" date above reflects the current version. They're a general framework — a signed project agreement for a specific engagement takes precedence over anything here that conflicts with it.
